Job Description: Key Responsibilities / Duties:
1 To ensure compliances with respect to the Companies Act, 2013, - RBI guidelines for NBFC’s and Stock exchange membership rules and regulations for stock brokers
2 Conducting Board Meetings
3 Reporting to the Board of Directors and coordinating with the Chief Financial Officer for all the business decisions to be implemented from the compliance perspective.
4 Following up / keeping a track with the team w.r.t. work related to all the Companies, allocating work and checking/ reviewing the work done by them
5 Preparation of Agenda, Notes to Agenda, Minutes of the Board Meetings
6 Preparation of Annual Report
7 Event based compliances as per ROC
8 Maintenance of all the Statutory Registers and records.
9 Familiarizing the Board with the latest amendments in any of the Acts or rules made thereunder and explaining the Directors, their roles and responsibilities towards the effective functioning of the Company.
Work Experience / Knowledge:
1 Good knowledge of subject matter – good enough to work & guide independently
2 Good knowledge of SEBI, BSE, NSE rules ; keep self-updated
3 Working knowledge of Finance & Accounts.
4 Should be able to understand Balance sheet.
5 Should be thorough with Companies Act & keep self-updated
6 Good experience in handling and managing assignments, should be self-driven
Qualification: Any Graduate + Qualified CS certification
Keyskills: compliances, stock market, SEBI, BSE, NSE
